End-User License Agreement

END-USER LICENSE AGREEMENT (EULA)

Effective Date: 2/23/2026

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User,” “Client,” or “you”) and Precision Handpiece Repairs LLC (“Company,” “we,” “our,” or “us”) governing your access to and use of the Client Portal located at clientportal.precisionhandpiecerepairs.com (the “Portal”).

By accessing or using the Portal, you agree to be bound by the terms of this Agreement. If you do not agree, you must not access or use the Portal.

  1. License Grant

Subject to this Agreement, Precision Handpiece Repairs LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for legitimate business purposes related to repair, service, invoicing, communication, and management of dental handpieces and related services provided by the Company.

  1. Permitted Use

You may use the Portal to:

• Submit repair requests
• Track repair status
• Approve estimates
• View invoices and payment history
• Communicate with Precision Handpiece Repairs LLC
• Manage your account information

You agree to provide accurate, current, and complete information at all times.

  1. Prohibited Use

You agree not to:

• Attempt to gain unauthorized access to the Portal or its systems
• Interfere with security features or functionality
• Upload malicious code or harmful materials
• Reverse engineer, copy, or modify the Portal software
• Use the Portal for unlawful or fraudulent purposes

  1. Account Security

You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized access or suspected breach.

  1. Intellectual Property

All content, software, designs, text, graphics, and functionality within the Portal are the exclusive property of Precision Handpiece Repairs LLC or its licensors and are protected by applicable intellectual property laws. No ownership rights are transferred to you under this Agreement.

  1. Third-Party Integrations

The Portal may integrate with third-party services, including accounting or payment platforms (such as QuickBooks Online or payment processors). Precision Handpiece Repairs LLC is not responsible for the functionality, availability, or policies of third-party services. Your use of those services is governed by their respective terms.

  1. Data & Privacy

We collect and store business contact information and repair-related data necessary to provide services. We implement reasonable security measures to protect your information but cannot guarantee absolute security. By using the Portal, you consent to the collection and use of your information in accordance with our Privacy Policy.

  1. Service Availability

We strive to maintain reliable access to the Portal but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Portal at any time without prior notice.

  1. Limitation of Liability

To the fullest extent permitted by law, Precision Handpiece Repairs LLC shall not be liable for indirect, incidental, consequential, or special damages arising from the use or inability to use the Portal. Our total liability shall not exceed the amount paid by you for services in the twelve (12) months preceding the claim.

  1. Indemnification

You agree to indemnify and hold harmless Precision Handpiece Repairs LLC from any claims, damages, or losses arising from your misuse of the Portal or violation of this Agreement.

  1. Termination

We reserve the right to suspend or terminate your access to the Portal if you violate this Agreement or misuse the system. Upon termination, your license to use the Portal immediately ends.

  1. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Ohio, without regard to conflict of law principles.

  1. Changes to This Agreement

We may update this Agreement from time to time. Continued use of the Portal after changes are posted constitutes acceptance of the revised terms.
